Terms of Service

By accessing or using the AskProso platform ("Service"), you agree to be bound by these Terms. If you use the Service on behalf of an organization, that organization accepts these terms, and you represent that you have the authority to bind them.

AskProso provides a unified interface and governance layer for third-party Large Language Models ("LLMs"). You acknowledge that:

• The Service facilitates requests to providers such as OpenAI, Anthropic, and Google.
• Your use of specific models is also subject to the Acceptable Use Policies of the respective model providers.

You agree not to misuse the Service. Specifically, you shall not:

• Engage in 'prompt injection' or 'jailbreaking' to bypass model safety filters or system instructions.
• Use the Service to generate content that encourages self-harm, violence, or illegal acts.
• Attempt to reverse-engineer the Service's infrastructure or the underlying AI models.
• Use any automated means (bots, scrapers) to access the Service without prior written consent.
• Use the Service for high-risk activities where a failure of the AI could lead to death, personal injury, or environmental damage.

Input: You retain all ownership rights to the prompts and data you submit.

Output: As between you and Proso, and to the extent permitted by applicable law and the terms of the underlying AI provider, you own the output generated by the Service.

Limited License: You grant Proso a license to host, transmit, and display your Input/Output only as necessary to provide the Service to you. We do not use your data to train or improve models.

The Service utilizes a credit-based consumption model. Credits have no cash value and are non-transferable. Access is strictly managed via Microsoft Entra ID; you are responsible for any activity resulting from the use of your organization's authentication tokens.

THE SERVICE IS PROVIDED "AS IS." PROSO AND ITS AFFILIATES MAKE NO WARRANTIES, EXPRESS OR IMPLIED, REGARDING THE ACCURACY, RELIABILITY, OR AVAILABILITY OF THE SERVICE OR THE OUTPUTS PRODUCED BY THE AI. AI-generated content is probabilistic and should be reviewed by a human for accuracy.

To the maximum extent permitted by law, Proso shall not be liable for any indirect, consequential, or punitive damages. Our total liability for any claim shall not exceed the amount paid by you for the Service in the twelve (12) months prior to the claim.

You agree to indemnify and hold Proso harmless from any claims, damages, or expenses arising out of your Input, your violation of these Terms, or your infringement of third-party rights through the use of AI-generated Output.

We may suspend or terminate your access if you violate these Terms or if your organization fails to maintain a valid subscription. Upon termination, your right to use the Service and any remaining credits will immediately expire.

These Terms are governed by the laws of the State of Delaware, USA. Any legal action shall be brought exclusively in the courts located in Delaware.
